Terms of service
1. Parties
These terms of service (the "Terms") govern access to and use of the Weareplonet add-on module shop (the "Service") operated by Weareplonet Retail d.o.o., a company incorporated in Montenegro (PIB 03761829, CRPS 4-2513628/2), with registered office at ul. Vaka Đurovića 14, 81000 Podgorica, Crna Gora ("Weareplonet", "we", "us"). "Customer" means the legal entity that subscribes to any module via the Service.
2. Relationship to Protel and WeArePlanet
Weareplonet is an independent shop of third-party add-on modules for hoteliers running Protel PMS. Protel PMS is a product of Protel Hotelsoftware GmbH (part of PlanetPayment / WeArePlanet). Weareplonet is not affiliated with, endorsed by or a legal representative of Protel Hotelsoftware GmbH or WeArePlanet. The Customer's Protel PMS licence, hosting, support and Protel Login credentials remain governed by the Customer's contract with Protel.
3. Grant of use
Subject to timely payment of the monthly fees, Weareplonet grants the Customer a non-exclusive, non-transferable, revocable licence to access the subscribed modules for its own internal business use for the properties enumerated in the Weareplonet dashboard. Sub-licensing, resale, and use on behalf of third parties (excluding hotel management companies operating properties they administer) are not permitted without prior written agreement.
4. Fees and billing
Fees are stated in euros per module per property per month, exclusive of VAT. VAT is added at invoice time according to the Customer's billing country. First invoice is prorated to the current calendar month; subsequent invoices are issued on the first business day of each month and due within 14 days. Late payment beyond 30 days may result in suspension of modules pending payment.
5. Cancellation
The Customer may cancel any module at any time from the Weareplonet dashboard. Cancellation takes effect at the end of the current paid calendar month. Refunds are governed by the refund policy. No early termination fee applies. Data retention after cancellation is governed by the privacy notice.
6. Service levels
Weareplonet targets 99.5% monthly uptime per module, measured over rolling 30 calendar days on the Weareplonet infrastructure. Downtime attributable to the Customer's Protel installation, third-party integrations chosen by the Customer, or force majeure events is excluded. Downtime credit against the current invoice is prorated per hour of unplanned unavailability beyond the SLA.
7. Data processing
To the extent that Weareplonet processes personal data on behalf of the Customer in the course of delivering the modules, the parties enter into the Data Processing Agreement published at /dpa, which forms an integral part of these Terms. Data is processed under the Montenegro Personal Data Protection Act and GDPR.
8. Intellectual property
All intellectual property in the modules, dashboard, documentation and derivative works remains the exclusive property of Weareplonet Retail d.o.o. The Customer retains ownership of its own data. Nothing in these Terms transfers ownership of Protel-branded intellectual property; the Protel name is used solely for identification of the third-party PMS the modules integrate with.
9. Warranty and limitation of liability
The modules are provided "as is" with a commercially reasonable effort to conform to their documented behaviour. Save for wilful misconduct or gross negligence, Weareplonet' total aggregate liability for any claim arising under these Terms is limited to the amount paid by the Customer for the affected module in the 12 months preceding the claim. Consequential losses (lost revenue, lost profit, lost data) are excluded to the maximum extent permitted by applicable law.
10. Termination for breach
Either party may terminate these Terms on 14 days' written notice for material breach not remedied within that period. Weareplonet may suspend modules immediately in case of failure of the Customer's Protel installation to safely accept API traffic, misuse of the module or credentials, or non-payment beyond 30 days.
11. Governing law and jurisdiction
These Terms are governed by the law of Montenegro. Any dispute arising out of or in connection with these Terms is subject to the exclusive jurisdiction of the Osnovni sud u Podgorici, save for injunctive relief which either party may seek in any competent jurisdiction.
